These Terms of Service (“Terms”) govern access to and use of the website axvanguard.com (the “Website”) and the professional services provided by AX Vanguard (“AX Vanguard”, “we”, “us”, “our”).
By accessing the Website or engaging our services, you agree to be bound by these Terms.

3. Services

AX Vanguard provides professional services related to customer delivery, customer success, operational execution, and leadership support, including but not limited to interim leadership, advisory, and execution services.

Services may be provided on a subscription, fixed-term, or custom engagement basis as agreed separately with the client in engagement documetn or proposal.

AX Vanguard does not provide legal, accounting, or financial advice.

4. No Employment Relationship

AX Vanguard acts as an independent service provider. Nothing in these Terms or any engagement creates an employment, partnership, or agency relationship between AX Vanguard and the client.

5. Client Responsibilities

Clients agree to:
- Provide accurate and complete information
- Grant timely access to systems, data, and stakeholders as required
- Retain responsibility for all business decisions and outcomes
- By accessing the Website or contracting Services, you acknowledge that you have read and accept these Terms in full. If you do not agree, do not use the Website or engage services.

Clients must provide necessary access to relevant information, systems, staff, and decision-makers.
Clients remain fully responsible for internal business decisions and outcomes. AX Vanguard’s role is execution support and leadership, not a guarantee of specific results.

AX Vanguard is not responsible for delays or failures caused by incomplete access, delayed decisions, or external dependencies.

6. No Guarantees

AX Vanguard provides services on a best-effort basis.

While we apply professional expertise and experience, no specific business results, financial outcomes, or performance improvements are guaranteed, as results depend on factors beyond our control.

7. Fees, Payment and Refund Policy

Fees for AX Vanguard services are displayed on the website or communicated prior to purchase and are payable in advance via our third-party payment provider Stripe.

By completing a purchase, you authorize AX Vanguard (via Stripe) to charge the applicable fees to your selected payment method in accordance with the pricing and billing terms presented at checkout.

AX Vanguard offers a limited satisfaction-based refund policy. If you are not satisfied with the services within the first fourteen (14) calendar days from the start of service, you may request a refund of seventy-five percent (75%) of the fees paid, with no justification required.

Refund requests must be submitted in writing within this 14-day period. Refund requests made after this period are not eligible.

This refund policy applies only to the initial purchase period and does not apply to renewals, extensions, additional services, or subsequent subscription periods unless explicitly stated otherwise.

Unless expressly stated:
- All fees are non-refundable after the 14-day refund window.
- Services are provided on a best-effort basis and do not guarantee specific business outcomes or results.
- Failed payments, chargebacks, or suspected fraudulent activity may result in immediate suspension or termination of services.
- AX Vanguard reserves the right to refuse refund requests in cases of misuse, abuse of services, or fraudulent behavior.
- Any approved refund will be processed via the original payment method. Transaction or processing fees charged by third-party payment providers may be deducted where applicable.
- Stripe processes payments on our behalf. AX Vanguard does not store or have access to full payment card details. Stripe’s own terms and privacy policies govern payment processing.

8. Intellectual Property

All intellectual property used or created by AX Vanguard (frameworks, methodologies, templates, models, trademarks) remain the property of AX Vanguard unless otherwise agreed in writing. Clients retain ownership of their own business data.

Your use of the Website must comply with applicable laws. Unauthorised use, reproduction, distribution, or misuse of Website content is prohibited.

Clients retain ownership of their own data and materials.

9. Confidentiality

Each party agrees to maintain the confidentiality of information received from the other party that is expressly identified as confidential, unless disclosure is required by law.

10. Limitation of Liability

To the maximum extent permitted by law:
- AX Vanguard is not liable for any indirect, incidental, consequential, or punitive damages.
- AX Vanguard’s total liability is limited to the amount the client paid to AX Vanguard in the six (6) months preceding the claim.

11. Termination

Either party may terminate an engagement according to the terms defined in the applicable agreement.
Termination does not affect accrued payment obligations.

12. No Warranty

The Website and all Services are provided “as is” without warranties of any kind. AX Vanguard disclaims all express or implied warranties.

13. Client Logos & Trademarks

Client logos displayed on this website are used solely to indicate companies we have worked with during our professional experience, including outside of AX Vanguard activities. Such use does not imply endorsement, partnership, or an ongoing commercial relationship unless explicitly stated. All company logos and trademarks remain the property of their respective owners and are used for identification purposes only.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with French law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of France.

15. Changes to Terms

We may update these Terms at any time by posting revised Terms on ths page. Continued use constitutes acceptance of updated terms.
